Terms of Use

Welcome to www.fpmtexas.com. The www.fpmtexas.com website (the "Site") is comprised of various web pages operated by FPM Professional Organizing LLC ("FPM Texas"). www.fpmtexas.com is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the "Terms"). Your use of www.fpmtexas.com constitutes your agreement to all such Terms. Please read these Terms carefully, and keep a copy of them for your reference.

If you’d like to cancel for any reason whatsoever, just call anytime to end service. There is no contract that locks you in. If you are unsatisfied with the service provider, we are happy to cancel any future services and compensate for unsatisfactory service.
Services are charged after service is performed. Furthermore, cancellations will be charged on credit card.
You may reschedule, skip, or cancel any of your services. We do ask for a 24-hour notice of any of these actions. Without a 24-hour notice there may be a $45.00 cancellation fee.
The service provider needs to be able to work freely and without distractions. Be advised that if the service provider is subject to distractions that affect their ability to work they may not efficiently complete agreed upon services.
FPM Professional Organizing, LLC assumes no liability for damage or loss of items that are not secured in a proper manner, or previously damaged before service. (Example: heavy pictures hanging from thumbtacks, or dings in furniture that were there before we cleaned). Further, service providers will assume no liability for damage or loss caused by the negligence of the customer.
Items of extreme value (monetary or sentimental) should be dusted or cleaned by the owner.
Although the individually contracted service providers are professionals, they are not miracle workers. Sometimes they are called in too late to correct damage that is already done, or areas may take a couple of sessions to look their best. We will work with you and the service provider in the most cost-effective way to try to remedy these spots in your home and or business.

Collaboration & Non-Compete
a) Collaboration is solely by and between FPM Professional Organizing, LLC and the customer and can take place via email, phone, or any other mean proposed.
b) While this agreement is in effect, the customer is not allowed to directly hire (directly pay) or work with the contracted service providers unless the customer pays a referral fee (see paragraph d).
c) After the customer has ended its collaboration with FPM Professional Organizing, LLC the customer is not allowed to directly hire or work with the service provider without written consent from FPM Professional Organizing, LLC. In the alternative, if the custoemr fails to seek written consent then the customer shall not directly hire or work with service provder prior to the expiration of one year from the date of this Agreement. In either event, the referral fee described in paragraph (d) below is expected to be paid in a timely fashion.
d) The customer may also pay a referral fee of $500.00 to FPM Professional Organizing, LLC after 6 months of services are provided if the customer wants to hire and work with the service provder directly ($500.00 per service provder).
f) If customer fails to pay the above-described exit fee, then FPM Professional Organizing, LLC shall reserve the right to pursue a claim for damages. Both parties acknowledge the difficulty of calculating damages under this non-compete clause. As such, both parties agree that in the event of any violations, FPM Professional Organizing, LLC will be entitled to liquidated damages of $5,000, set for the purpose of discouraging violations, which liquidated damages are to be awarded in favor of FPM Professional Organizing, LLC and against customer.

General Terms 

These FPM Texas Card Terms and Conditions (“Terms and Conditions”) apply in addition to the Terms of Use and Privacy Policy set forth on the www.fpmtexas.com website, which are expressly incorporated herein. For purposes of these Terms and Conditions, including the arbitration provision set forth below, the term “FPM TX” shall be interpreted broadly encompass FPM Professional Organizing, LLC, and any of its predecessors, successors, assigns, parents, subsidiaries, affiliates, and each of their respective officers, directors, shareholders, employees, and agents.

IMPORTANT: THESE TERMS AND CONDITIONS CONTAIN A MANDATORY ARBITRATION PROVISION THAT, AS FURTHER SET FORTH BELOW, REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES.  THIS MEANS THAT YOU AND FPM TEXAS ARE EACH GIVING UP THE RIGHT TO SUE EACH OTHER IN COURT OR IN CLASS ACTIONS OF ANY KIND.  IN ARBITRATION, THERE IS NO JUDGE OR JURY AND THERE IS LESS DISCOVERY AND APPELLATE REVIEW THAN IN COURT. 

Nonreturnable; not for resale.

Notwithstanding anything contained in these Terms and Conditions, FPM TEXAS Gift Cards and eGift Cards (“FPM Texas Gift Cards”) are not returnable or refundable for cash except in states where required by law. Resale of FPM Texas Gift Cards is strictly prohibited.

Liability.

Acceptance locations.

Unless other restrictions apply, FPM Texas may be used to purchase services at fpmtexas.com or for professional organizing and property management services.

Not for promotional use.

FPM Texas gift cards may be used as personal or business gifts, but may not be used in connection with any marketing, advertising or other promotional activities (including without limitation via websites, Internet advertisements, email, telemarketing, direct mail, newspaper and magazine advertisements, and radio and television broadcasts). If you are ordering more than 10 cards, please email info@fpmtexas.com and an representative will contact you within 24 hours.

No affiliation with FPM Texas.

Use of FPM Texas’ name, logo, trade dress (including any image/likeness of the cards) or trademarks (or those of any of its subsidiaries or affiliates) in connection with the purchase or use of FPM Texas gift cards is strictly prohibited. Furthermore, the use of FPM Texas gift cards in any manner that states or implies that any person, website, business, product or service is endorsed or sponsored by, or otherwise affiliated with, FPM Texas or any of its subsidiaries or affiliates is prohibited.

Compliance with laws.

By purchasing FPM Texas gift cards, you are certifying and representing to FPM Texas that the activities in connection with which the FPM Texas gift cards will be used will comply with these Terms and Conditions and all applicable laws, rules and regulations, and that the FPM Texas gift cards will not be used in any manner that is misleading, deceptive, unfair or otherwise harmful to consumers or FPM Texas. In addition, you agree to defend and indemnify FPM Professional Organizing, LLC. and its subsidiaries and affiliates from and against any claims, expenses or liabilities made against or incurred by any of them in connection with your use of the FPM Texas gift cards or violation of any of these Terms and Conditions.

Lost or Stolen Gift Card.

Lost or stolen cards will not be replaced. FPM Professional Organizing, LLC shall have liability to you for (i) lost or stolen FPM Texas gift cards or (ii) use of anyFPM Texas gift cards by third parties.

Viewing Balance Terms and Conditions

No Consolidation for New FPM Texas Gift Card.

You may not consolidate or combine multiple FPM Texas gift cards to purchase a new FPM Texas gift card. We may and hold the right or refusal to consolidate or combine multiple gift cards into one gift card per customer request.

Each FPM Texas gift card is redeemable for one service but if the card has been combined you may contact us by calling or texting 321-926-1285 to receive the balance estimate and/or any remaining service(s) available.  

All FPM Texas gift cards must be used within 180 days of purchase. 

Disputes & Arbitration

PLEASE READ THIS SECTION CAREFULLY.  IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.  This arbitration provision provides that you and FPM Texas waive any right to file a lawsuit in court or participate in a class action for matters within its terms.

EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT, ALL DISPUTES ARISING OUT OF OR RELATED TO THESE TERMS AND CONDITIONS OR ANY ASPECT OF THE RELATIONSHIP BETWEEN YOU AND FPM Texas (INCLUDING ANY PRODUCTS OR SERVICES OFFERED OR SOLD BY FPM Texas), WHETHER BASED IN CONTRACT, TORT, STATUTE, FRAUD, MISREPRESENTATION, OR ANY OTHER LEGAL THEORY, WILL BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION BEFORE A NEUTRAL, SINGLE ARBITRATOR INSTEAD OF IN A COURT BY A JUDGE OR JURY, AND YOU AGREE THAT FPM TEXAS AND YOU ARE EACH WAIVING THE RIGHT TO SUE IN COURT AND TO HAVE A TRIAL BY A JURY.   DISPUTE SHALL BE INTERPRETED AS BROADLY AS PERMITTED UNDER THE LAW AND SHALL COVER ANY CLAIMS THAT AROSE BEFORE THESE OR ANY PRIOR TERMS AND CONDITIONS.  YOU AGREE THAT ANY ARBITRATION WILL TAKE PLACE ON AN INDIVIDUAL BASIS; AS SET FORTH BELOW, CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED AND YOU ARE AGREEING TO GIVE UP THE ABILITY TO PARTICIPATE IN A CLASS ACTION.  The arbitration will be administered by Judicial Arbitration Mediation Services, Inc. (“JAMS”) pursuant to the JAMS Streamlined Arbitration Rules & Procedures effective July 1, 2014 (the “JAMS Rules”) and as modified by this agreement to arbitrate.  The JAMS Rules, including instructions for bringing arbitration, are available on the JAMS website at https://www.jamsadr.com/rules-streamlined-arbitration/. The Minimum Standards are available at https://www.jamsadr.com/consumer-minimum-standards/.

The arbitrator will conduct hearings, if any, by teleconference or videoconference, rather than by personal appearances, unless the arbitrator determines upon request by you or by us that an in-person hearing is appropriate.  Any in-person appearances will be held at a location that is reasonably convenient to you.  The arbitrator will follow these Terms and Conditions and his or her award will be final and binding.  Notwithstanding any of the foregoing, nothing in these Terms and Conditions will preclude you from bringing issues to the attention of federal, state, or local agencies and, if the law allows, they can seek relief against us for you.

THERE SHALL BE NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR LITIGATED ON A CLASS ACTION, JOINT, OR CONSOLIDATED BASIS OR ON BASES INVOLVING CLAIMS BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC (SUCH AS A PRIVATE ATTORNEY GENERAL), OTHER FPM TEXAS CUSTOMERS, OR OTHER PERSONS.  THE ARBITRATOR MAY AWARD RELIEF ONLY ON FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF WARRANTED BY THAT INDIVIDUAL PARTY’S CLAIM.  THE ARBITRATOR MAY NOT AWARD RELIEF FOR OR AGAINST ANYONE WHO IS NOT A PARTY.  THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.  THIS WAIVER OF CLASS ACTIONS AND COLLECTIVE RELIEF PARAGRAPH IS AN ESSENTIAL PART OF THIS ARBITRATION PROVISION AND CANNOT BE SEVERED FROM IT.  THE REMAINING PORTIONS OF THIS ARBITRATION PROVISION ARE NOT ESSENTIAL PARTS OF THIS ARBITRATION PROVISION AND CAN BE SEVERED FROM IT BY A COURT OF COMPETENT JURISDICTION.  NOTWITHSTANDING THE FOREGOING, IF A COURT DETERMINES THAT PUBLIC INJUNCTIVE RELIEF MAY NOT BE WAIVED AND ALL APPEALS FROM THAT DECISION HAVE BEEN EXHAUSTED, THEN THE PARTIES AGREE THAT THIS ARBITRATION PROVISION SHALL SURVIVE AND ANY CLAIM FOR PUBLIC INJUNCTIVE RELIEF SHALL BE STAYED PENDING ARBITRATION OF THE REMAINING CLAIMS.  

This arbitration provision shall survive any termination of these Terms and Conditions.  Any amendments to this arbitration provision shall not affect any pending asserted claim or arbitration proceeding.    

Applicable Law

The law applicable to the interpretation and construction of these Terms and Conditions in any arbitration shall be the Federal Arbitration Act, applicable federal laws, and the laws of the State of Texas without regard to principles of conflicts of laws.  If any dispute is found not to be arbitrable, then ordinary choice of law rules will apply in any court proceeding in which the matter is adjudicated. 

Updates to Terms and Conditions

These FPM Texas Gift Card Terms and Conditions were last updated on the date set forth above. FPM Professional Organizing may update these Terms and Conditions at any time. We recommend that you check these Terms and Conditions periodically for changes.  In the event of a conflict between these Terms and Conditions and the www.fpmtexas. Terms of Use, these Terms and Conditions will govern.

Your use of www.fpmtexas.com is subject to FPM Texas' Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices. Our Privacy Policy can be found below.

Visiting www.fpmtexas.com or sending emails to FPM Texas constitutes electronic communications. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site. FPM Texas content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. International Users

The Service is controlled, operated and administered by FPM Texas from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the FPM Texas Content accessed through www.fpmtexas.com in any country or in any manner prohibited by any applicable laws, restrictions or regulations.

Indemnification

You agree to indemnify, defend and hold harmless FPM Texas, its officers, directors, employees, agents and third-parties, for any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third-party, or your violation of any applicable laws, rules or regulations. FPM Texas reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with FPM Texas in asserting any available defenses.

FPM TEXAS AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

Termination/Access Restriction

FPM Texas reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Georgia and you hereby consent to the exclusive jurisdiction and venue of courts in Georgia in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section. You agree that no joint venture, partnership, employment, or agency relationship exists between you and FPM Texas as a result of this agreement or use of the Site. FPM Texas' performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of FPM Texas' right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by FPM Texas with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and FPM Texas with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and FPM Texas with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. 

Changes to Terms

FPM Texas reserves the right, in its sole discretion, to change the Terms under which www.fpmtexas.com is offered. The most current version of the Terms will supersede all previous versions. FPM Texas encourages you to periodically review the Terms to stay informed of our updates.
